Step-4: Register Your Company

Actions

4.1 Log in to e-profile and choose your entity type from the e-SERVICES page.

  • Business
  • Local Company
  • Foreign Company

4.1 Submit all the required documents, including details of the company, governance of the company, registered office, principal place of business, shareholder details, share structure details, and details of its members.

4.3 Office of the Registrar of Companies Verifies the application submitted

4.4 If approved, an email notification will be sent informing you that your entity registration has been successful.

Note: New businesses are required to draft Articles of Association, which outline the internal governance framework of the company. These articles should include details regarding the structure of the company, the rights and responsibilities of shareholders, and the distribution and management of shares.

 

 

Required Documents

Companies

  1. Photo ID of individual(s) - officeholder
  2. TIN card/TIN letter of all officeholders
  3. Officeholder details (including a valid email address)
  4. Articles of Association (if adopted its own)
  5. Registered trust deed (if applicable)
  6. If more than one officeholder signed proof of consent of another officeholder
  7. Latest company registration certificate
  8. A letter of authority, if lodged by an agent
  9. Latest change of company name certificate (if required)
  10. Other relevant supporting documents

Foreign Company

  1. Photo ID of individual(s) - officeholder, local agent
  2. Foreign company registration certificate (Previously issued by ROC)
  3. A statement of all subsisting charges, excluding charges in relation to Property solely situated outside Fiji
  4. Certified copy (or if a certified copy cannot be obtained, a copy of the instrument and a statutory declaration confirming it is a true and correct copy) of the charter, statutes, or memorandum and articles of the foreign company or other instrument constituting or defining the constitution of the foreign company
  5. Signed proof of consent of all business name holders if lodged by an agent
  6. Latest Foreign Investment Registration Certificate (FIRC)
  7. Foreign company incorporation certificate (place of incorporation)
  8. Other relevant supporting documents
